TERMS OF SERVICE – 3D CHARACTER DESIGN & MODELING

1. GENERAL PROVISIONS
Agreement: By commissioning ChilkyArts, hereafter referred to as the Artist, the Client agrees to the following terms.
Business Registration: The Artist operates as a registered business in Sweden (Enskild Firma) and is VAT registered (subject to Swedish VAT - Value Added Tax in Europe).
Mandatory Client Information: To comply with Swedish tax regulations (Skatteverket), the Client must provide their full legal name, residential address, and country of residence. This information is required for official invoicing and bookkeeping purposes. The Client's privacy is a priority. All provided data is stored securely and handled strictly for tax documentation and will not be shared with third parties, except as required by law for tax reporting.
Right of Refusal: The Artist reserves the right to decline any commission request at their discretion.
2. PAYMENTS & PRICING
General Pricelist: Final quotes depend on design complexity and the number of features.
Full models start at $2,500 USD (includes visible body parts + face + hairstyle + outfit).
Separate full body base for future outfits start at $500 USD.
New outfits for previous clients start at $600 USD.
New hairstyles for previous clients start at $400 USD.
VTuber face tracking (ARKit blendshapes) start at $300 USD.
Chibi models start at $600 USD.
Currency: All prices are in USD. Payments are processed via [Paypal/Wise/Stripe/VGen] or bank transfer.
Payment Options:
Full Upfront: Ensures immediate delivery of files upon completion.
50/50 Split: 50% non-refundable deposit to start, 50% upon project completion (before final file delivery).
Installments: Payments can be divided into smaller portions paid over a few weeks or months, with a minimum of $500 per transaction. The work will be started or put on the waitlist once at least 50% has already been deposited, which guarantees your spot in the queue.
3. TAXES & FEES
Non-EU Private & Business Clients (USA, UK, etc.): This is considered an export of services (huvudregelstjänst). As the place of supply is outside the EU, no Swedish VAT (tax) is added to the price. The Client remains responsible for any local use taxes if applicable in their specific jurisdiction.
EU Private Clients: A 25% Swedish VAT (Moms) will be added to the total price. This tax does not belong to the Artist; it is only collected by her and sent to the Swedish Tax Agency (Skatteverket).
EU Business Clients: If a valid VAT ID is provided, the Reverse Charge mechanism will be applied (0% VAT on the invoice).
Rush Queue: A fee of +50% of the total project price allows the Client to be placed in the queue as soon as possible. This option is subject to availability and is only offered if no other rush commission is currently in progress or scheduled next. However, the speed of creating the model will not be cut short, ensuring full quality of work (4-8 weeks).
Rush Deadline: A fee of +100% of the total project price allows the Client to have their project started immediately. Under this agreement, the model will be simplified as necessary to meet the required short deadline. The details will be further discussed.
4. DESIGN & REFERENCES
Requirements: Client must provide a clear, front-facing full-body reference (preferably in A-pose or T-pose). Side/back views are recommended, but not mandatory. A close-up of extra accessories shown separately is useful to have as well.
Creative Freedom: If a back view is missing or character details are unclear, the Artist will take liberty in order to complete the design. If there are any outfit or hairstyle parts that can't be translated to 3D precisely, a redesign or different options will be discussed.
Scope Of Work: One commission request covers a maximum of 1 Full Model (visible body parts + face + hairstyle + outfit) and 1 Extra Outfit. More outfits can be requested at a later date. Prices include 7 default facial expressions (emotes).
5. WORK PROCESS & REVISIONS
Client Queue: Anyone can check the Artist's public queue on Trello.
WIP Updates: Progress screenshots will be provided via direct messages on preferred platform, such as Discord, Twitter or VGen.
Workflow: Any toggles and features on the model must be stated before work begins, because they dictate how the meshes and textures will have to be done.
The usual workflow steps are: Modeling > UV Unwrapping > Texturing > Blendshapes > Rigging.
Revision Policy:
Structural Revisions: Structural changes (mesh/sculpt) must be requested before the texturing stage. These are free of charge within reasonable limits, subject to the Artist's judgment.
Major changes requested after texturing has begun or been completed will incur additional fees.
Excessive Edits: The Client requesting an unusually large amount of edits will be charged extra.
Error Correction: If any small mistakes accidentally slipped into the finalized model (e.g., rigging or texture errors), they will be fixed by the Artist free of charge.
Technical Setup: Unity setup for finalizing the model (VRChat avatar setup, .VRM or .WARUDO format) will be charged separately and possibly delegated to another trusted Technical Artist at Mofu Workshop. In rare cases the Artist will do Unity setup by herself.
6. DELIVERY & DEADLINES
Turnaround Time: Estimated 4 to 8 weeks once work begins. This does not include the initial waiting list time.
File Delivery: Final files are released only after the balance is paid in full. Deliverables will be in .FBX and .BLEND formats including .PNG texture files.
Technical Setup Delivery: If the Artist handles the Unity setup, the Client will also receive the VRChat avatar setup, Unity files, .VRM, or .WARUDO format files, depending on the agreed-upon requirements.
Digital Delivery: The files will be shared fully electronically via File Hosting Websites or Cloud Storage Services (like MEGA.NZ), e-mail or direct messages (like Discord).
7. USAGE RIGHTS & LICENSING
Personal/Basic Commercial Use: Every commission comes with free commercial rights to livestream on mainstream platforms, such as Twitch.tv and YouTube.com, and VRChat use. Other platforms must be discussed and additional fee may apply if the model is used for monetized content.
Full Commercial Rights: A fee of +100% of the total project price applies for any commercial exploitation, with exception to livestreaming on Twitch and Youtube. This includes, but is not limited to: merchandise using 3D model renders, monetized image/video content on subscription-based platforms (e.g., Patreon), e-commerce shops, and streaming on age-restricted or mature-audience platforms. This fee can be paid at a later date, but must be settled prior to any commercial use.
Usage Restrictions: The Client and anyone getting hold of the files are strictly prohibited from using this work for any AI-training, NFTs, or Cryptocurrency. Unauthorized use will result in immediate revocation of the license and a permanent blacklist from all future commissions.
Credit: The Client must credit the Artist as the 3D Creator or 3D Modeler on their profile/social media.
8. PRIVACY & NDA
Standard Privacy: The Artist reserves the right to document and showcase the creative process of the commission. This includes, but is not limited to, posting WIP updates and final model renders to her portfolio and social media, and posting timelapse videos on Youtube, unless otherwise agreed upon via an NDA.
Partial NDA: A fee of +20% applies if the Client requires the project to remain private and excluded from the Artist's public portfolio until the model is officially announced/debuted.
Full NDA: For corporate or strictly confidential projects, terms and fees must be negotiated individually before work begins.
9. CANCELLATION & REFUNDS
Client Cancellation: The Client may only cancel the commission and receive a refund before work has commenced. Usually, the payment is requested only when the Artist is ready to start the project, not ahead of time - unless a longer payment plan has been discussed.
Commenced Work: No refunds will be issued once the project has started. Due to the custom digital nature of this work, all payments are final.
Artist Cancellation: If the Artist is unable to complete a project after work has started, a refund of 50% to 90% of the total amount will be issued to the Client, depending on the stage of completion. The Artist will retain a minimum of 10% to cover administrative and processing fees.
Unfinished Files: In the event of an Artist-side cancellation, unfinished project files can be shared with the Client upon request.
